SoftBank Group Corp has recently announced a significant financial maneuver, introducing $10 billion and €1 billion in senior unsecured notes aimed at financing its investment in OpenAI, according to a term sheet released on Monday.

The dollar notes will be issued in varying maturities: 3.5 years, 5.5 years, and 7.5 years, while the euro bonds will come with 4-year and 6-year terms. The funds raised are earmarked primarily for SoftBank’s $10 billion investment in the third tranche of its ongoing commitment to OpenAI, anticipated to be finalized on October 1, alongside allocations for general corporate activities.

Earlier, SoftBank had arranged a $10 billion bridge loan facility to support this investment, and the proceeds from these bonds will effectively replace that financing. The pricing for these bond issuances is slated for September 24, with settlement expected on September 29.

At this moment, SoftBank Group has not responded to requests for comments, coinciding with a holiday in Japan. Citigroup and JPMorgan are serving as the lead bookrunners for this bond issuance.
