Marvell Technology announced on Monday its intention to acquire Lumentum, a manufacturer of optical components, to cater to the increasing connectivity needs stemming from the expansion of artificial intelligence infrastructure.

Matt Murphy, Chairman and CEO of Marvell, emphasized the significance of this acquisition, stating that "AI infrastructure is undergoing a fundamental architectural shift towards optical connectivity, creating a once-in-a-generation opportunity." He further noted that those who take the initiative in this transition will establish enduring standards for the future.

The acquisition agreement is structured as a fixed ratio deal with no cash involved, meaning its valuation hinges on Marvell's stock price. Marvell indicated that the deal carries an implied enterprise value of $115 billion for Lumentum.

With this merger, Marvell aims to integrate electrical and optical technologies to respond to the rapidly evolving AI connectivity requirements across various regions and platforms. As companies increasingly leverage optical connections for the interlinking of chips responsible for managing and training large language models, this acquisition becomes critical.

Under the terms of the agreement, Lumentum shareholders will receive 4.5 shares of Marvell for each share they hold in Lumentum. The acquisition is anticipated to finalize in the first half of 2028.

This move represents one of the most substantial investments in AI for Marvell this year, occurring despite growing concerns regarding the long-term viability of infrastructure expenditures.

Moreover, Marvell has previously invested heavily in the AI sector, recently finalizing a multibillion-dollar acquisition of Celestial AI, a startup that specializes in optical interconnectivity technology.

The company has experienced impressive growth, with its market value surging more than threefold over the past three years, fueled by strong interest in AI. Similarly, Lumentum's stock has seen a more than twofold increase this year alone.

Prior to the opening bell, Marvell's shares fell by 3%, while Lumentum’s stock was down approximately 4%.
