NextEra Energy has announced an agreement to acquire Dominion Energy in a stock transaction valued at approximately $67 billion, bringing together two of the foremost entities positioned to address the escalating demand for electricity, particularly from data centers supporting artificial intelligence applications.
Dominion Energy is recognized as the provider for the largest data center market globally, located in northern Virginia, and boasts a market capitalization exceeding $50 billion.
On the other hand, NextEra stands as the nation's premier developer of renewable energy, with a diverse portfolio that also includes natural gas and nuclear generation capabilities. Headquartered in Florida, it is the largest utility in the S&P 500, with a market cap surpassing $190 billion.
This merger will establish the most extensive regulated electric utility worldwide, as reported by both companies on Monday. Post-acquisition, the combined entity will possess a market capitalization of $249 billion and an enterprise value of $420 billion, positioning it as the third-largest player in the energy sector, trailing only oil giants Exxon Mobil and Chevron.
“Electricity demand is experiencing unprecedented growth,” commented NextEra CEO John Ketchum. “The merger of NextEra Energy and Dominion Energy is a strategic move rooted in the belief that scale is increasingly vital.”
Under the new structure, NextEra shareholders will hold 74.5% of the merged entity, while Dominion shareholders will account for 25.5%. The conglomerate will function under the NextEra name and maintain its ticker symbol on the New York Stock Exchange.
Following the announcement, Dominion’s shares surged by over 9%, while NextEra’s stock saw a decline of more than 4%.
Ketchum conveyed to investors that the merged company aims to become the preferred partner for large-scale customers, particularly tech firms constructing expansive data centers. NextEra envisions developing more than 30 data center hubs across the United States to satisfy the demand driven by AI technologies.
Despite its significant focus on renewable energy, NextEra has also increased its investments in natural gas during the latter part of the Trump administration and is actively contributing to the expansion of nuclear energy in the United States. Last year, the company forged a partnership with Google to reactivate the previously shuttered Duane Arnold nuclear facility in Iowa.
Together, NextEra and Dominion will emerge as the foremost entity in renewable energy and battery storage worldwide, the leading generator of natural gas in the U.S., and will hold the second position in nuclear energy generation, according to the companies' statements.
Ketchum will retain his position as CEO of the newly formed entity, while Dominion's CEO, Robert Blue, will assume the role of head of its regulated utilities sector and join the board.
